Clause 1
Parties to this Agreement
This Retained Search Mandate Agreement ("Agreement") is entered into between Construct Executive Search (Pty) Ltd, headquartered at 66 Park Lane, Sandown, Sandton, 2191, Gauteng, South Africa ("CES"), and the Client organisation identified below ("Client"). Both parties agree to be bound by the terms set out herein.
Clause 2
Nature of the Retained Mandate
The Client hereby appoints CES on an exclusive, retained basis to conduct a comprehensive retained executive search for the position(s) detailed below. Exclusivity means the Client agrees not to engage any other search firm, recruitment agency, or headhunter for the same position for the duration of this Agreement. CES will conduct a full-market retained search encompassing both active and passive candidates — including direct, confidential approaches to employed individuals not actively seeking new roles.
Clause 3
Professional Fee
CES Retained Search Fee Rate 25% of TAGP + VAT (15%)
The professional fee is calculated as 25% of the successful candidate's Total Annual Guaranteed Package (TAGP). The fee is structured in three tranches:
  • Tranche 1 — 33%: Payable within 5 business days of signing. Activates the retained mandate and secures exclusivity.
  • Tranche 2 — 33%: Payable within 5 business days of CES delivering a minimum of three qualified shortlisted candidates.
  • Tranche 3 — 34%: Payable within 5 business days of the preferred candidate accepting a formal written offer.
Tranches paid prior to cancellation are non-refundable. All invoices are payable by EFT.
Clause 4
Retained Search Deliverables
CES commits to the following under this retained mandate:
  • Formal Position Brief and retained search strategy within 3 business days of mandate activation.
  • Written progress report within 10 business days confirming candidate engagement.
  • Shortlist of minimum 3 qualified candidates within 25 business days.
  • Competency-based assessment and candidate motivation report per shortlisted candidate.
  • Reference verification on the preferred candidate prior to offer stage.
  • Remuneration benchmarking and offer advisory included at no additional cost.
  • Offer management and negotiation support through to acceptance.
Clause 5
60-Day Replacement Guarantee
CES provides a 60-day replacement guarantee from the placed candidate's commencement date. Should the appointed candidate voluntarily resign or be dismissed for proven misrepresentation of qualifications within this period, CES will conduct a replacement retained search at no additional fee, subject to all three tranches being paid in full and written notification within 5 business days.
Clause 6
Confidentiality & POPIA Compliance
CES is fully compliant with the Protection of Personal Information Act 4 of 2013 (POPIA). Candidate personal information will not be shared beyond the purpose of this retained mandate without written consent.
Clause 7
Off-Limits & Anti-Poaching
CES will not approach the Client's employees for any other mandate for 12 months from the date of this Agreement. The Client will not directly engage any candidate introduced by CES within 12 months without paying the full professional fee as defined in Clause 3.
Clause 8
Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Electronic signatures constitute legally binding acceptance under the Electronic Communications and Transactions Act 25 of 2002.
